TALLAHASSEE, Fla. – Florida Secretary of State Cord Byrd is reminding Florida businesses and non-profit corporations to file their annual reports before the May 1, 2026, deadline.
“The May 1 deadline is fast approaching,” said Secretary of State Cord Byrd. “I strongly encourage registered entities to file now to avoid the $400 late fee. Filing online at Sunbiz is the fastest and most convenient way to ensure your annual report is properly submitted to the Division of Corporations.”
Key reminders for filing annual reports:
- Avoid the late fee. Profit corporations, limited liability companies, limited partnerships, and limited liability limited partnerships must file by 11:59 p.m. EST on Friday, May 1, 2026, to avoid the $400 late fee.
- File directly through Sunbiz.org. Beware of third-party companies offering filing services for a fee. These solicitations can be misleading, and Florida businesses do not require third-party assistance.
- Look for official branding. All legitimate Division of Corporations communications include the State of Florida seal and Sunbiz logo.
- Annual reports do NOT require financial information.
- Non-profit corporations must also file.
